แถลงการณ์ผลคำตัดสินคดีโครงการโรงไฟฟ้าหงสา

ในวันนี้ 6 มีนาคม 2561 กรุงเทพฯ – ศาลแพ่งได้อ่านคำพิพากษาศาลฎีกาให้คู่ความฟัง กรณีโครงการโรงไฟฟ้าหงสา โดยศาลฎีกามีคำพิพากษาสรุปได้ดังนี้

1. กรณีที่โจทก์กล่าวหาจำเลยว่า เข้าร่วมทำสัญญาพัฒนาโครงการเพื่อให้ได้มาซึ่งข้อมูล โดยไม่มีเจตนาเข้าทำโครงการจริง ศาลพิจารณาว่า จำเลยมีความสุจริตในการเข้าทำสัญญาและมีเจตนาทำโครงการจริง มิใช่เพื่อให้ได้มาซึ่งข้อมูล

2. กรณีที่โจทก์กล่าวหาจำเลยว่า จำเลยยกเลิกสัญญากับผู้รับเหมาเพื่อให้โครงการล่าช้า อันเป็นเหตุให้รัฐบาลลาวยกเลิกสัมปทานกับโจทก์ ศาลพิจารณาว่า จำเลยมีความสุจริต ทำเพื่อประโยชน์ของโครงการ และรัฐบาลลาวมิได้ใช้เหตุนี้ในการยกเลิกสัมปทานกับโจทก์

3. กรณีที่โจทก์กล่าวหาจำเลยว่า จำเลยยุยงรัฐบาลลาว ให้ยกเลิกสัมปทานกับโจทก์ ศาลพิจารณาว่า จำเลยมีความสุจริต มิได้ยุยง การยกเลิกสัมปทานเป็นการตัดสินใจของรัฐบาลลาว เพื่อประโยชน์ของประชาชนลาว

4. กรณีที่โจทก์กล่าวหาจำเลยว่า จำเลยใช้ข้อมูลโครงการของโจทก์
ศาลพิจารณาว่า เป็นการใช้ข้อมูลที่มีมูลค่าของโจทก์จึงกำหนดให้ จำเลย จ่ายค่าใช้ข้อมูลเป็นจำนวนเงิน 1,500 ล้านบาท พร้อมดอกเบี้ยร้อยละ 7.5 ต่อปี ตั้งแต่เดือนกรกฎาคม 2550

บริษัทฯ ขอให้ทุกฝ่ายเชื่อมั่นว่าคำตัดสินไม่ส่งผลกระทบต่อการดำเนินงานของบริษัทฯ และบ้านปู เพาเวอร์ฯ บริษัทฯ ยังคงเดินหน้าดำเนินธุรกิจด้วยความเป็นมืออาชีพตามแผนกลยุทธ์ Greener & Smarter ที่มุ่งสร้างคุณค่าที่ยั่งยืนให้กับผู้มีส่วนได้เสียในทุกภาคส่วน และที่สำคัญคือ บริษัทฯ จะยังคงยึดมั่นในการปฏิบัติตามหลักบรรษัทภิบาลและจริยธรรมในการดำเนินธุรกิจตลอดไป

Holding Statement for The Supreme Court’s Judgment for Hongsa Court Case

On 6 March 2018, Bangkok the Civil Court read the Supreme Court judgment on the Hongsa court case to the parties. The summary of the Supreme Court judgment is as follows:

1. In respect of the claim that the Defendants entered into the Joint Development Agreement to acquire the information without true intention to develop the Hongsa Project, the Court considered that the Defendants acted in good faith in entering into the Agreement with its true intention to develop the Hongsa Project, but not to acquire the information as alleged.

2. In respect of the claim that the Defendants terminated a contract with a contractor to delay the Hongsa Project to result in the Lao Government terminating the concession agreements with the Plaintiffs, the Court considered that the Defendants conducted in good faith for the benefit of the Hongsa Project, and the Lao Government did not adopt the delay from the termination of the contractor as a cause of termination of the concession agreements with the Plaintiffs.

3. In respect of the claim that the Defendants induced the Lao Government to terminate the concession agreements with the Plaintiffs, the Court considered that the Defendants was in good faith and did not do so. The termination of the concession agreements was the pure decision of the Lao Government for the benefit of its people.

4. In respect of the claim that the Defendants used the project information of the Plaintiffs, the Court considered that the Defendants utilized the valuable information of the Plaintiffs and therefore ordered the payment to the Plaintiffs the sum of Baht 1,500 million plus interest at the rate of 7.50% percent per annum calculated from July 2007.
